~ BYLAWS ~

ARTICLE I

NAME, COLORS AND PROFIT STATUS

SECTION 1: NAME

a. The name of the association shall be: "THE CENTRAL FLORIDA ROTTWEILER VEREIN".

b. The proper abbreviation of this name shall be "CFRV".

SECTION 2: COLORS

a. The colors of the association shall be Royal Blue and Bright White.

SECTION 3: PROFIT STATUS

a. The Central Florida Rottweiler Verein shall be conducted as a non-profit organization.

b. No member may derive any income from the association. Persons who, in the course of official duties or in the service of the association, incur expenses may apply to the Treasurer for reimbursement for these expenses. Reimbursement, if any, must be approved by the Board of Directors.

ARTICLE II

OBJECTIVES

The objectives of the association shall be to preserve the Rottweiler in accordance with ADRK breed and performance standards. Activities shall:

1. Promote Breed Suitability Tests (ZtPrs).

2. Promote Schutzhund training.

3. Support the National Club (the ARV) in it's objectives.

4. Send a quarterly newsletter to CFRV club members.

5. Hold seminars at least bi-annually to help club members and others.

ARTICLE III

PERFORMANCE REGULATIONS

1. The regulations governing the Rottweiler Suitability Tests (also known as the ZtPr) shall follow ADRK rules as closely as possible except that OFA shall be substituted for HD. Only ARV recognized judges may be used.

2. The Schutzhund Trail regulations shall be identical to those of the VDH (Verbandes fur das Deutsche Hundewesen, the German Kennel Club).

3. The regulations governing the events which evaluate the conformation of the Rottweiler shall follow ADRK procedures as closely as possible. Only ARV recognized judges may be used.

ARTICLE IV

MEMBERSHIP

SECTION 1: TYPES OF MEMBERSHIP

This association shall be composed of two (2) types of individual memberships:

a. Full Memberships: Full members shall be provided with an official membership card and shall receive a quarterly newsletter from the CFRV.

b. Family Membership: A family membership shall recognize two (2) persons in a household as individual full members of the ARV with all rights and privileges as described in Part ‘A' above. The membership chairperson shall issue each person a separate membership card. The family membership includes one (1) subscription to the newsletter.

SECTION 2: RULES FOR INDIVIDUAL MEMBERSHIPS

a. Annual Dues: The Board of Directors shall establish the amount of dues for all types of memberships. All memberships are due January 1st. New members joinging Jan. 1 to June 30 pay the full amount. New members joinging July 1 to Dec. 31 pay half the annual dues.

b. Non-payment of dues: At least one month before due date, all members will be notified directly or through the newsletter. Any member whose dues are not paid by February 1 shall have his membership cancelled. Such cancellation shall result in loss of all rights and privileges of membership.

c. Resigation: Any member of the CFRV may resign from the association at any time and shall be deleted from the membership list. Resignations must be submitted to the Membership Chairman in writing.

SECTION 3: DISCIPLINE

a. Charges: Any full member may prefer charges against any other member for conduct prejudicial to the interest of the CFRV. Allegations must be submitted in writing and sworn to before a Notary Public. The charge(s) shall be forwarded to the CFRV Secretary with a deposit of $75.00 (Seventy Five Dollars) for each charge. The deposit shall be forfeited for each charge that is not sustained.

b. The Secretary shall send copies of said charges by certified mail to each member of the Board of Inquiry within fifteen (15) days after reeipt, and the Board of Inquiry shall act upon said charges within sixty (60) days after the receipt of same.

c. The Secretary shall send one copy fo the charges to the accused member by certified mail not more than fifteen (15) days after receipt.

d. The accused may answer charges in writing to the Secretary within thirty (30) days of receipt. He may also provide testimony from witnesses. The Secretary shall forward copies of answer and/or any testimony to all members of the Board of Inquiry by certified mail within fifteen (15) days of receiving same.

e. To be heard, charges must be filed within four (4) months of the date of alleged misconduct. The Board of Inquiry shall, by majority vote, sustain or not sustain charge(s).

f. Charges which concern business deals between CFRV members shall not be heard.

g. The Board of Inquiry shall recommend, if the charge(s) are sustained, appropriate disciplinary action. The Board of Directors may then vote for or against such action.

h. No member who has been suspended or expelled by the CFRV may participate in any activities sponsored by the association for the duration of the suspension, or permanently if expelled.

I. A report of the disciplinary action taken again any member shall be forwarded to the ARV's Business Administrator.

ARTICLE VI

BOARD OF DIRECTORS

a. Duties: It shall be the duty of the Board of Directors to conduct the affairs of the Central Florida Rottweiler Verein.

b. The Board shall choose one (1) date per calender year on which it shall conduct its annual meeting. Notice shall be provided to all Board Members not less than thirty (30) days prior to the meeting.

c. Quorum: In order for any business to be conducted, a quorum must be present. A quorum shall be deemed present if one third of the Board of of Directors in good standing are present.

d. The Executive Board of Directors shall be the same as the Board of Directors.

e. Meetings shall be conducted in a Democratic and ethical manner.

ARTICLE VII

OFFICERS OF THE ASSOCIATION

SECTION 1: OFFICERS

The Officers of the CFRV are those people who handle the affairs of the association. Officers shall have a vote on the Board of Directors. The officers of the association shall be:

a. President

b. Vice President

c. Treasurer

d. Secretary & Business Administrator of Records

SECTION 2: TERMS OF OFFICE

a. All elected officers shall have terms of office not to exceed two (2) years.

SECTION 3: DUTIES OF OFFICERS

a. President: The President is the Chief Administrative Officer and legal head of the CFRV. He or she exercises supervision over the association and of all its activities and employees. He/She is responsible for handling relations between the ARV and external associations. He/She represents the CFRV in public, presides at business meetings and has the authority to appoint committees. He/She may sign letters and documents necessary to carry out the will of the association. He/She shall be an advisory member of all committees.

b. Vice President: The Vice President shall assume the duties of the President in case of his absence or incapacitation. He/She shall assume that office for the remainder of the term in the event the office is vacated for any reason.

c. Treasurer: The Treasurer shall be responsible for collecting, accounting for and handling all funds of the association. He/She shall insure that all funds are deposited in such bank, trust company or savings institution as the Board of Directors may designate. He/She shall see that disbursements are made as is necessary and proper to meet the just and due obligations of the CFRV. The Treasurer shall ensure that all membership requirements are met and shall terminate the membership of any individual if dues ar enot paid as specified in Articles IV and V respectively.

d. Secretary: The Secretary shall be responsible for taking and preparing accurate minutes of all meetings of the Board of Directors and shall maintain a complete file of the ordinances, bylaw revisions, resolutions and other official CFRV actions; he/she shall be responsible for official CFRV correspondence; maintaining a file of committees and its members; recording all terms of office and inform the Board of Directors when the elections are due. During the meeting of the Board, it shall be the Secretary's duty to insure that only those persons with proper credentials be seated and ensure that only those persons authorized are allowed to vote. The Secretary shall also perform other dutues as prescribed by the Board.

SECTION 4: NOMINATION AND ELECTION OF OFFICERS

a. Nominations: Candidates for officer positions may be nominated from any CFRV member. All nominations must be seconded. Candidates need not be nominated to receive votes for office, "Write In" balloting is permitted.

b. Eligibility: To be eligible for election, a nominee or write in candidate must be a full member of the ARV and CFRV. He or she may not be under twenty-one (21) years of age or under current disciplinary action.

c. Election of Officers:

1) The Board of Directors shall elect Officers at every annual meeting that takes place in an even numbered year.

2) The voting shall be by secret ballot only. Ballots shall be given to the Secretary who shall announce the results of the election.

3) A majority of votes of the Board members present is required to elect officers. Repeat balloting is required if no candidate receives the necessary majority.

4) Newly elected officers shall be seated at the conclusion of old business.

5) There is no limit to the number of consecutive terms a person may hold office.

SECTION 5: VACANCIES

a. If the office of Vice President, Treasurer or Secretary should be vacated for any reason, or if the incumbent becomes incapacitiated and connot or is unwilling to perform the duties of office, the Board shall elect a replacement. For the purposes of these bylaws incapacitation shall mean sickness or death.

b. Nominations for the vacant office must be submitted to the Secretary. The Secretary shall conduct the balloting of the Board. The Treasurer shall conduct the balloting if the Secretary's office is vacant.

c. The newly elected officer shall hold office untl the next annual Board meeting. At that time he/she can be either ratified or replaced.

ARTICLE VIII

APPOINTED POSITIONS AND COMMITTEES

SECTION 1: EDITOR

a. The editor shall be appointed by the President of the CFRV and confirmed by the Board of Directors. The editor shall publish, at regular intervals, a publication which carries informaiton aobut, as well as the official views of, the CFRV. The President of the CFRV shall direct its editorial policy so as to promote the programs and policies of the association.

b. The President of the CFRV may appoint up to four (4) assisitant editors to help supply necessary information and articles.

SECTION 2: APPOINTED COMMITTEES

a. The President shall have the right to appoint committees as deemed necessary. He/she may not apoint a committee to perform a function which is already given to an officer as so stated by theses constitution and bylaws. The right to appoint a committee brings with it the right to appoint the chairman of the committee.
